Questions? Contact Trivva

1. Who we are and when these Terms apply

Trivva.ai (“Trivva,” “we,” “us,” or “our”) provides the services described in these Terms. Our business mailing address is 7345 S Tatum Lane, Queen Creek, Arizona 85142, United States. Contact us at jake@trivva.ai or +1 480-280-1532.

These Terms govern use of our website and the business services you purchase from us. Our services are offered to businesses in the United States. “You” means the person using our website or the business purchasing services, as applicable. You must be at least 18, have legal capacity to enter a contract, and have authority to bind any business you represent.

Paid services require an accepted proposal, statement of work, order form, or checkout agreement that identifies the services and charges (an “Order”). Visiting our website, requesting a demonstration, or providing contact information does not create a paid subscription or authorize recurring charges. We will present these Terms for acceptance when you place an Order.

An Order may vary these Terms if it expressly identifies the different commercial terms. A separately agreed data processing addendum controls conflicting provisions concerning the processing of client personal information. Nothing in these documents limits rights or obligations that applicable law does not permit the parties to exclude.

2. Services and scope

Our primary service is a managed business website and inquiry-handling package offered at US$297 per month with no setup fee. The agreed package includes website creation or configuration, hosting or management, missed-call text-back, requests for honest customer reviews, website inquiry capture into a customer relationship management system, and notifications to your team. The monthly price covers the fees and operating costs needed to provide that agreed package, as explained in Section 4.

Your Order must specify the supported website/platform, pages or other deliverables, revisions, maintenance and support scope, any communication allowances, onboarding requirements, and the billing start date agreed with you. Any scope or usage limits must be disclosed before you accept the Order. Such limits do not authorize automatic overage charges. Additional work outside the agreed package requires a separate agreement before it is supplied or charged.

Cinematic or AI-assisted video production is a separate service. Video length, concepts, formats, revisions, delivery schedule, usage rights, and price are defined in a separate Order. Purchasing the website package does not include video production.

Paid advertising, advertising spend, ongoing SEO, Google Business Profile optimization, social content management, AI voice reception, custom software, and other additions are excluded unless expressly included in your Order. Missed-call text-back sends messages; it is not a live or AI telephone-answering service.

3. Onboarding, approvals, and client responsibilities

You will provide accurate business information, authorized content, relevant access permissions, and timely decisions. You are responsible for the accuracy of your services, prices, hours, licenses, claims, offers, testimonials, service areas, and contact information. You must identify any legal or industry-specific requirements relevant to your business.

Use delegated access where available. Do not send passwords, payment-card details, or other sensitive credentials through ordinary lead forms or unsecured messages. Protect your accounts and notify us promptly of suspected unauthorized access.

We will submit material website content, campaign copy, creative deliverables, or automation settings for approval as agreed in your Order. Approval confirms your instructions; it does not excuse defects in our work or relieve either party of its own legal obligations. Silence is not permission to publish unapproved factual claims or launch promotional messaging.

Changes after approval or requests outside the agreed scope may require a revised schedule and additional written authorization. Client delays may affect delivery dates. We will identify material dependencies rather than guarantee dates dependent on information, access, platform approval, or consent records you have not supplied.

We may use qualified contractors to assist with delivery. We remain responsible for the work we agree to provide, and access to confidential information must be limited to people who need it for that work.

4. Fees, billing, and renewal

Charges are in U.S. dollars. US$297 is the total monthly charge for the agreed website package, with no setup fee. Trivva covers the hosting, CRM, communication usage, carrier registration, payment-processing, and other provider or operating fees needed to deliver that package. We do not add provider surcharges or usage overages to the agreed subscription. This does not purchase services outside the agreed package, such as separately ordered video production or the optional website handoff in Section 6. Those services require a separate price and your agreement before any charge.

The website subscription has an initial minimum commitment of one monthly billing period and then renews monthly until cancellation takes effect under Section 5. Recurring fees are charged in advance. The billing start date must be agreed with you and recorded in your Order before billing begins; it is not automatically the date of an inquiry, signup, or website launch. Your Order must also state the monthly billing schedule. Cancellation notice may be given during the initial billing period; you do not have to wait until that period ends to give notice.

By affirmatively accepting recurring billing during enrollment, you authorize the agreed charges through the designated payment processor. Accepting these Terms alone, without an Order and billing authorization, does not authorize an unspecified charge.

For a month-to-month service, we will give at least 30 days’ advance notice of a proposed recurring-price increase, or more notice where required by law. The notice must explain the new price and when it would first be charged. You may cancel before the increase applies without having to satisfy the ordinary 30-day cancellation notice requirement; we will not charge the increased price merely because the usual notice period would end later. We will not increase a committed fixed-term price unless the Order expressly permits the identified adjustment or you agree. This notice process concerns the total recurring package price. Introducing metered charges, excluding previously included provider fees, or changing your agreed service scope requires your separate express agreement; notice alone does not authorize those changes.

If a payment fails, we will notify you and provide a reasonable opportunity to resolve it before suspension, unless immediate action is necessary for fraud or security. Contact us promptly about a billing error. Nothing here prevents a lawful payment dispute or statutory remedy.

5. Cancellation, refunds, and service termination

You may request cancellation by emailing jake@trivva.ai. You do not have to attend a sales or retention call. If an online cancellation control is provided, you may also use it. We will confirm receipt, but a valid cancellation request does not depend on our acknowledgment to take effect.

Ordinary website-subscription cancellation requires at least 30 calendar days’ written notice. Cancellation takes effect at the end of the first monthly billing period that ends at least 30 calendar days after we receive your notice, and no earlier than the end of the initial one-month commitment. Service and the agreed monthly charges continue until that date. This means that a further monthly payment may fall due after you give notice. We will confirm the calculated end date and any remaining scheduled payment; a valid request does not depend on that confirmation.

For example, if your subscription renews on the first of each month and we receive notice on September 15, service ends on October 31 and the October 1 monthly payment remains due. Notice does not mean service necessarily ends exactly 30 days later. If you request immediate website shutdown, we will coordinate it with you, but shutdown alone does not shorten the billing obligation during the ordinary notice period. The price-increase cancellation right in Section 4, termination remedies below, and mandatory legal rights remain applicable.

Fees for a service period already supplied or made available are generally not prorated solely because you cancel partway through that period. This does not exclude refunds required by law, billing corrections, or remedies for our material failure to deliver the agreed service. Separate project and video cancellation charges must be set out in the relevant Order; they are not automatically “nonrefundable” under these Terms.

We may suspend affected services when reasonably necessary to address a security threat, unlawful use, serious platform-policy violation, or unresolved payment failure. We will give notice and an opportunity to correct the problem when reasonable. Either party may terminate for a material breach not corrected within 15 days after written notice, unless a different period is legally required or the breach cannot reasonably be cured.

If we discontinue a service for reasons unrelated to your breach, we will ordinarily give at least 30 days’ notice, provide reasonable transition cooperation, and refund prepaid recurring fees for the period we will not provide. Earned fees and separately authorized, noncancelable commitments for work outside the included website package remain payable, subject to applicable law. Provider costs included in your subscription do not become additional cancellation charges.

6. Client ownership, website licensing, and transition

You retain your rights in the domain names, business accounts, trademarks, photographs, text, customer records, and other materials you provide (“Client Materials”). You give us permission to use Client Materials only as needed to perform the agreed services and any separately authorized uses.

You should remain the registrant or owner of your business domain and accounts wherever the provider supports that structure. We do not acquire ownership of them by managing them.

We and our licensors retain rights in pre-existing code, reusable templates, components, methods, automation frameworks, and third-party software. A managed website subscription provides the agreed hosted service; it is not automatically a purchase of our reusable source code, our agency accounts, or a third-party platform.

Unless the Order provides a broader assignment, once the applicable fees are paid, you receive a perpetual, nonexclusive license to use, reproduce, and adapt the final client-specific text, graphics, and creative deliverables we create for your business, to the extent we can grant those rights. This license does not require us to continue hosting after cancellation and remains subject to disclosed third-party licenses. We will not reuse your confidential information, branding, or customer-specific assets for another client without permission.

Optional website handoff: US$1,000. If you choose to take over the website, this one-time fee includes the website source and files within the agreed handoff scope, a perpetual, nonexclusive license to host, run, reproduce, maintain, and modify the transferred website for your business (including through another provider), and one migration to a compatible hosting account that you own. The license includes our reusable code incorporated into the transferred website as needed to operate and modify that website, while we retain ownership of our reusable code and tools. Third-party materials remain subject to their disclosed licenses. This is an optional purchase; you do not have to buy a handoff to cancel your subscription.

Before you purchase the handoff, we will confirm the included files, any third-party restrictions or dependencies, the compatible destination, access you need to provide, the migration steps, the payment due date, the handoff schedule, and when the transferred-site license takes effect in writing. The agreed standard migration is included in the US$1,000 fee. Rebuilding for an incompatible platform, additional migrations, and work beyond that scope require separate approval and pricing. The handoff does not include ongoing hosting, maintenance, CRM or SMS services, phone-number or CRM/workflow migration, or other ongoing third-party costs; any continuation or migration of those services must be arranged separately. We will identify what will stop working without replacement services before you agree to the handoff. Subscription cancellation and the handoff are coordinated separately; buying a handoff does not itself change the cancellation date or notice-period billing.

Client-owned domain names, accounts, content, and customer records remain yours. Reasonable standard export assistance and cooperation to return control of your domain or accounts are included and do not depend on buying the US$1,000 handoff. Standard content exports also include final client-specific text, images, and other content you have paid for and have rights to use, subject to disclosed third-party licenses; exporting that content does not include the website source-code package or hosting migration. We do not promise that every telephone number, automation, or third-party account can be transferred, and any restrictions must be explained before purchase. Client-owned accounts and exportable Client Materials are not to be withheld solely because of an unrelated fee dispute.

Request ordinary exports of Client Materials, paid client-specific content described above, and supported client records before service ends or within 30 days afterward. This export window is separate from the advance cancellation notice period. Reasonable standard export assistance is included; custom migration or rebuilding outside the purchased handoff scope requires a separately approved fee. We will not intentionally delete transition materials during that window except on your authorized instructions or where law or security requires it. Afterward, we handle remaining records under our Privacy Policy, agreed processing instructions, and applicable law. You should retain independent copies of important materials.

7. Messaging, lead handling, and review requests for your business

When we configure communications on your behalf, you must provide lawful instructions and the permissions needed for the particular sender, recipient, channel, purpose, and message type. You must maintain applicable consent records and suppression lists and tell us when a person withdraws permission or changes contact details.

A public phone number, a past purchase, a list upload, a website inquiry, or an unanswered call does not by itself authorize an ongoing promotional text sequence. We may require evidence of permission and refuse or pause a questionable campaign. Carrier registration is not a substitute for recipient permission.

We will configure agreed opt-out handling, sender identification, routing, and follow-up rules. You remain responsible for monitoring inquiries, maintaining accurate availability, responding to customers, and honoring their choices. These services are not emergency dispatch, a guaranteed response service, or a substitute for your sales team.

Review requests must seek genuine, voluntary feedback. We do not support fabricated reviews, incentives for Google reviews, threats against reviewers, suppression of negative feedback, or screening that sends only satisfied customers to public review pages. We do not guarantee a number of reviews, a star rating, removal of a review, or a search ranking.

Our configuration work does not make us your legal adviser. Each party remains responsible for the obligations applicable to its own conduct, including privacy, electronic marketing, telemarketing, recording, and platform rules. Client responsibility does not excuse unlawful conduct by Trivva.

8. Trivva’s own SMS program

This section concerns messages sent by Trivva about its own services. Messages from a business client are governed by that sender’s notices and the permission you gave that business.

When you separately opt in, Trivva may text you about your inquiry, appointments, onboarding, account matters, and support. Promotional offers are sent only under the applicable separate marketing permission. Joining a messaging program is optional and is not a condition of purchasing our services. Providing a phone number or accepting these Terms does not, by itself, opt you into marketing texts.

Message frequency varies with your requests and the program you selected. Your carrier’s message and data charges may apply. Automated systems may be used to send messages.

Reply STOP to a Trivva message to leave that messaging program. We may send a single opt-out confirmation and will suppress further messages from that program unless you subsequently opt in again or law permits a necessary communication. You may also send a reasonable opt-out request to jake@trivva.ai. Reply HELP for assistance or contact jake@trivva.ai or +1 480-280-1532. Tell us if you stop controlling the number you enrolled.

Opting out of SMS does not cancel a paid service; use the cancellation process in Section 5 for that. Carriers do not guarantee delivery and, to the extent permitted by law, are not responsible for delayed or missing messages. We do not promise uninterrupted messaging. See our Privacy Policy for how messaging information is handled.

9. AI-assisted and creative services

If your Order includes creative work, we may use human production, AI-assisted tools, licensed media, or a combination consistent with the approved brief. You must have permission to use supplied likenesses, voices, music, trademarks, footage, and other assets, including permission for the specified AI processing where necessary.

We will not knowingly present fabricated testimonials, synthetic completed projects, or simulated before-and-after results as authentic customer evidence. You must review factual claims, product representations, names, and other business-specific details before publication. Material changes to an approved brief or script may require a revised scope.

AI-assisted outputs may not be unique, and we do not promise that every generated element qualifies for exclusive copyright protection or registration. The usage rights in your Order extend only to rights we can grant. We will identify material stock, music, talent, platform, and media-use restrictions rather than promise unrestricted ownership of third-party assets.

Project files, raw footage, prompts, editable timelines, and source assets are included only if the Order says so. We require separate permission before using your name, logo, unpublished work, or deliverables as a public testimonial, portfolio example, or case study.

10. Third-party platforms and service limitations

Delivery may involve HighLevel, website hosts, payment processors, telecommunications providers, Google services, and approved creative vendors. Features, approvals, portability, and availability may depend on their rules and systems. We will identify material client obligations and restrictions relevant to your service.

We will use reasonable care to configure the agreed integrations, but cannot guarantee uninterrupted third-party operation, carrier delivery, platform approval, a specific search ranking, or protection against every security incident. These limitations do not remove our responsibility for our own configuration, promises, or handling of personal information.

If a third-party change materially prevents an agreed service, we will discuss a reasonable alternative, scope adjustment, or termination of the affected service rather than continue charging indefinitely for an unavailable feature.

11. Privacy, confidentiality, and client data

Our Privacy Policy explains our handling of personal information. Where we process your customers’ information on your behalf, you generally determine the business purposes and instructions, and we act as your service provider or processor for that work.

We will use that information only for the agreed services, lawful documented instructions, and permitted operational purposes—not to independently market Trivva or another client to your customers. Before processing that requires a separate data processing agreement, the parties will put that agreement in place, including relevant security, subprocessor, transfer, incident, and deletion terms.

Each party will protect the other’s nonpublic business information and disclose it only to authorized people who need it for the engagement, subject to confidentiality duties, or as legally required. This does not cover information lawfully public, independently developed, or lawfully received without confidentiality restrictions. Confidentiality duties continue after the engagement ends.

Do not provide medical records, government identity documents, full card details, or similarly sensitive information unless we have expressly agreed the necessary purpose and safeguards in writing.

12. Acceptable use

You may not use our website or services for fraud, impersonation, harassment, unlawful discrimination, spam, malware, infringement, unauthorized data access, deceptive advertising, or circumvention of provider restrictions. You may not request fabricated credentials, unauthorized likeness use, or misleading evidence of completed work.

Do not submit another party’s confidential information or personal information without authority. We may decline instructions or remove content reasonably believed to violate this section, with an explanation where appropriate.

13. Service standard and results

We will perform agreed services with reasonable care and skill. Business results depend on factors including your market, pricing, traffic, reputation, sales process, budget, and response practices. Unless expressly agreed in writing, we do not guarantee leads, appointments, sales, revenue, rankings, reviews, or advertising approval.

Except for express promises in the agreement and warranties that cannot lawfully be excluded, no additional warranty of uninterrupted operation, merchantability, or fitness for a particular purpose is given.

14. Liability and third-party claims

To the extent permitted by law, neither party is liable to the other for indirect or consequential losses, lost profits, or lost business opportunities arising from the agreement. Except for the exclusions below, each party’s aggregate liability relating to an affected service is limited to the fees paid or payable for that service during the 12 months before the event giving rise to the claim.

These limitations do not exclude or restrict fraud, willful misconduct, gross negligence, obligations that cannot legally be limited, or your obligation to pay undisputed fees. They do not limit data subjects’ or consumers’ nonwaivable rights.

For business clients, you will reimburse reasonable losses from third-party claims to the extent caused by Client Materials you lacked permission to supply, unlawful messaging instructions, or your intentional misuse of the services. This does not apply to the extent the claim was caused by our breach, negligence, unauthorized modification, or unlawful conduct. We must notify you promptly, allow a reasonable opportunity to defend, cooperate, and not settle a claim imposing obligations on you without your consent. This provision remains subject to applicable law and the liability limits above.

15. Governing law and disputes

These Terms and applicable Orders are subject to applicable law. Any dispute may be brought before a court with jurisdiction over the parties and the dispute, subject to any valid governing-law or venue provision expressly agreed in an Order. Nothing in these Terms removes a forum or remedy available under law that the parties cannot waive.

Before filing a commercial claim, the parties will attempt in good faith to resolve it through written notice and discussion for up to 30 days. This does not prevent urgent relief, lawful complaints to regulators, applicable small-claims procedures, or action necessary to preserve a deadline.

16. Changes, general provisions, and contact

We may update these Terms prospectively. Material changes affecting an existing service will be communicated in advance and will not retroactively change paid scope, an existing fixed-price commitment, or accrued rights. We will obtain any acceptance required by law. Posting an update is not permission for new charges or new marketing consent.

If a provision is unenforceable, the remaining provisions continue to the extent lawful. A failure to enforce a provision once is not a permanent waiver. Neither party becomes the other’s employee, agent for general purposes, partner, or joint venturer through this agreement. Provisions intended to survive termination—including payment obligations, ownership, confidentiality, lawful retention, and dispute provisions—continue as appropriate.
